4. Quotations & Orders
4.1 Quotation Validity
- Quotations are valid for 15 days from the date of issue unless otherwise specified
- Prices in quotations are subject to confirmation at the time of order placement
- Special pricing for bulk orders requires separate negotiation
4.2 Order Placement
- Purchase orders must reference quotation numbers and include complete project details
- Orders must specify product codes, quantities, delivery address, and timeline requirements
- Verbal orders must be confirmed in writing within 24 hours
4.3 Order Acceptance
- All orders are subject to acceptance and written confirmation by Lotus Services
- We reserve the right to reject orders without providing reasons
- Order confirmation will be sent via email with expected delivery timeline
4.4 Order Modifications & Cancellations
- Modifications must be requested in writing before production commencement
- Cancellations may be subject to charges as per our Refund & Cancellation Policy
- Custom orders cannot be cancelled once production has started
5. Payment Terms

- Bank transfer (NEFT/RTGS/IMPS)
- Cheque (subject to clearance)
- Demand Draft in favor of "Lotus Services"
- Cash (for amounts permitted under applicable laws)
5.2 Payment Schedule
- Standard terms: 100% advance for first-time customers
- Credit facilities available for registered businesses upon credit evaluation
- Large projects may have milestone-based payment schedules as agreed in writing
5.3 Late Payments
- Late payments attract interest at 18% per annum or as per agreement
- We reserve the right to suspend deliveries or services until outstanding amounts are cleared
- Legal costs for recovery of dues will be borne by the defaulting party
5.4 GST & Taxes
- All prices are exclusive of applicable GST unless mentioned otherwise
- Valid GST invoices will be issued for all transactions
- Customers are responsible for any other applicable taxes, duties, or levies
6. Delivery & Risk Transfer
6.1 Delivery Terms
- Standard delivery is ex-works Neemrana, Rajasthan unless otherwise agreed
- FOB (Free on Board) and delivered options available with additional charges
- Delivery timelines are estimates and not binding commitments
6.2 Risk Transfer
- Risk of loss or damage passes to buyer upon handover to carrier (ex-works)
- For delivered orders, risk transfers upon delivery at customer's premises
- Customers must inspect goods upon delivery and report damages within 24 hours
6.3 Delivery Delays
- We strive for timely delivery but are not liable for delays caused by force majeure events
- Force majeure includes natural disasters, strikes, government actions, supply chain disruptions
- Customer-requested changes, incomplete information, or site readiness issues may cause delays
7. Quality Assurance & Testing
- All products undergo rigorous quality testing as per BIS standards
- Test certificates provided with every consignment upon request
- Third-party inspection can be arranged at customer's cost
- Customers should verify product specifications upon receipt
8. Warranty
8.1 Product Warranty
- Lotus Services warrants products against manufacturing defects for specified warranty periods
- Warranty periods vary by product category (typically 1-5 years from date of invoice)
- Warranty covers repair, replacement, or credit at our sole discretion
8.2 Warranty Exclusions
Warranty does not cover:
- Damage from improper installation, handling, or storage
- Use outside specified pressure, temperature, or application parameters
- Unauthorized modifications or repairs
- Normal wear and tear
- Damage from chemicals, environmental factors, or external forces
- Products purchased from unauthorized dealers
8.3 Warranty Claims
- Claims must be reported within warranty period with supporting documentation
- Original invoice, test certificates, and photographs required for claim processing
- Our technical team will inspect claimed defects before approval
- Warranty repairs/replacements do not extend original warranty period

14. Indemnification
Customers agree to indemnify and hold Lotus Services harmless from claims, damages, or liabilities arising from:

- Violation of applicable laws or regulations
- Third-party claims related to customer's projects
- Breach of these Terms & Conditions
15. Dispute Resolution
15.1 Negotiation
Parties agree to first attempt resolution through good-faith negotiation between senior management.
15.2 Arbitration
Unresolved disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. Arbitration shall be conducted in Alwar, Rajasthan with one arbitrator mutually appointed by parties.
15.3 Governing Law & Jurisdiction
- These Terms are governed by the laws of India
- Subject to arbitration clause, courts in Alwar, Rajasthan shall have exclusive jurisdiction
16. Force Majeure
Neither party shall be liable for failure to perform obligations due to events beyond reasonable control including:
- Natural disasters (floods, earthquakes, pandemics)
- Government actions, regulations, or restrictions
- War, terrorism, civil unrest
- Strikes, labor disputes
- Supply chain disruptions, raw material shortages
- Power failures, infrastructure breakdowns
17. Severability
If any provision of these Terms is found invalid or unenforceable, remaining provisions shall continue in full force and effect.
18. Amendments
We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with revised date. Continued use of services after updates constitutes acceptance of modified Terms.
19. Entire Agreement
These Terms, along with quotations, purchase orders, and written agreements constitute the entire agreement between parties and supersede all prior communications and understandings.
